By submitting such materials, you grant Centarr a non-exclusive, royalty-free, perpetual, and irrevocable right to use, reproduce, modify, and distribute the materials for any business purpose. Submission of materials does not create a confidential relationship or obligation on the part of Centarr.

6. Account Security

   If you create an account with us, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

7. Confidentiality

   In the course of using the Services or engaging with Centarr, you may be exposed to Confidential Information. You agree not to disclose, reproduce, or use such information for any purpose other than as expressly permitted by Centarr. This obligation does not apply to information that is publicly available, independently developed by you, or rightfully received from a third party without restriction.

8. Export Controls & Regulatory Compliance

   The Services and any related technical data or materials may be subject to U.S. export control laws and regulations, including the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR). You agree not to export, re-export, or transfer any information, technical data, or materials obtained through the Services in violation of applicable U.S. export control laws, trade sanctions, or embargoes. You represent that you are not located in, or a national or resident of, any country subject to U.S. trade sanctions, and that you are not listed on any U.S. government restricted party list.

9. Security & Responsible Disclosure

   We implement commercially reasonable administrative, technical, and physical safeguards to protect data transmitted through or stored by the Services, including SSL/TLS encryption. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

   If you discover a security vulnerability in our Services, we ask that you report it to us responsibly through our contact page before disclosing it publicly. We will make reasonable efforts to investigate and address confirmed vulnerabilities in a timely manner.

10. Disclaimers

    To the maximum extent permitted by law, Centarr and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services. Our aggregate liability for any claim arising from or related to these Terms shall not exceed the total fees paid by you to Centarr in the twelve (12) months preceding the claim, or $500, whichever is greater.

12. Indemnification

    You agree to defend, indemnify, and hold harmless Centarr and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your use of the Services, or your violation of any applicable law or regulation.

13. Termination

    Centarr may suspend or terminate your access to the Services at any time, with or without cause. Where reasonably practicable, we will provide notice prior to termination. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property, confidentiality, limitation of liability, indemnification, and governing law.

14. Governing Law & Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions, and where applicable, the federal laws of the United States. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in King County, Washington. Before initiating any formal legal action, the parties agree to attempt to resolve disputes informally for a period of thirty (30) days. You waive any right to a jury trial in connection with any dispute arising under these Terms.

15. Electronic Communications

    By using the Services, you consent to receiving electronic communications from us, including emails, notices posted on the Services, and other electronic messages. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

16. Third-Party Links & Services

    The Services may contain links to third-party websites or services that are not owned or controlled by Centarr. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. Use of third-party services is at your own risk.

17. Accessibility

    Centarr is committed to making the Services accessible to all users. We strive to conform to the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standards. If you experience any difficulty accessing any part of the Services, please contact us so we can work to address the issue.

18. Modifications to Terms

19. Miscellaneous

    • These Terms constitute the entire agreement between you and Centarr regarding the Services.

    • Centarr may assign its rights and obligations under these Terms without your consent. You may not assign your rights without our prior written consent.
    • Centarr shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet disruptions.
    • No waiver of any provision shall be deemed a further or continuing waiver of that or any other provision.
